How long does it takes to incorporate a company?
The entire incorporation process takes 2 working days unless
there are documents to be sent to you for signing or the approval of
name needs to be reverted to certain government bodies. Example:
Companies' activities such as banks, medical, school, travel agents,
publishers etc are subject to approval from government bodies.
Types of Companies
Private Limited Companies: Number of shareholders is limited
to 50 or less. Public Companies: Number of shareholders can be more
than 50 members and the company may raise capital by offering shares
and debentures to the public. A public company must register a
prospectus with the Registrar before making any public offer of
shares and debentures.
Branches of Foreign Companies: These are companies whose country of
origin are outside Singapore and who wish to set up a branch in
Singapore. The companies are registered and not incorporated under
the Companies Act, Chapter 50.

Every Limited Company in Singapore requires a qualified company
secretary throughout the year - Section 177 of the Companies Act. We
will act as your company secretary for a fee of S$600.00 per annum
and this service includes acting as named secretary, maintaining the
statutory books and preparation of all relevant minutes for
directors' and shareholders' meetings', the preparation of forms to
be filed with the ROC (Registry of Companies And Businesses), share
transfer forms and any other documentation normally required in the
field of Company Secretarial work.

Registered office/Business address
service
It is a requirement under the Companies Act for all Singapore
Companies/ Businesses to have a registered office in Singapore.
We provide a registered office facility at our address for a fee of
S$25.00 per month and will forward all mails.
For clients who wish to give the impression that they have a
presence in the Singapore, we can offer our business address service
office facility.

Corporate director
A private limited company requires a minimum number of two
individual directors of which at least one has to be an Singapore
citizen, Singapore permanent residence or having an employment pass
in Singapore.
Our representative may act as your company's local director for a
fee of S$120.00 per month if you have difficulties appointing a
director of your own.

EntrePass (Employment Pass for Entrepreneurs)
For a foreigner to act as the local director, we can apply for
his/her employment pass (either before the incorporation or after).
We will apply for an EntrePass (Employment Pass for
Entrepreneurs) and once it's approved (in about 2 weeks) we will
proceed to incorporate the company.
The following documents are required from the applicant:
- Detailed Resume
- 2 passport sized photographs
- Details of past and current education and employment
history
- Photocopies of education certificates
- Letters from past and present employers
- Membership in any association or organization
- Business Plan for the proposed company
We will also require you as the applicant to complete and sign
the necessary EntrePass Form. We can either courier the form to you
or you may download it from the following website :-

The fee for this application is between S$600.00 to S$1000.00.

Shareholder
A private limited company must have at least two shareholders
if they are individuals. One of our officers may act as a nominee on
behalf of the beneficial owner for a fee of S$50.00 per month. A
suitable Declaration of Trust may be prepared upon request.

statutory registers and prepare the required resolutions at our
office and update them when necessary.

Non-Singaporeans can become Singapore Permanent Residents (SPRs)
by obtaining an Entry Permit. An application for an Entry Permit is
an application for Singapore Permanent Residence. We assist our
clients with various immigration matters especially application for
Permanent Residence in Singapore. Our fee for this application is
between S$800.00 to S$1000.00.

A BRANCH OFFICE
What is a Foreign Company( Branch Office)?
A foreign company is one that is incorporated
outside Singapore. A foreign company has to register its branch in
Singapore under the Companies Act before it can commence business in
Singapore. Any foreign company wishing to register a branch is
advised to engage a professional eg. lawyer or an accountant to
assist in the preparation and filing of the necessary documents for
registration.
A memorandum of appointment or power of attorney appointing two or
more locally resident persons (i.e. Singapore Citizen, Singapore
Permanent Resident,Singapore Employment Pass Holder or Dependent
Pass Holder) authorized to accept service of process and any notices
required to be served on the foreign company.
Our professional fee for the registration of branch office is
S$1500.00. If you require us to act as your representative, there
will be an additional fee of S$120.00 per month per person.
